Piscataway, New Jersey-based Unitronix Corp, which in May announced plans to combine with fellow Digital Equipment Corp manufacturing software developer Effective Management Systems Inc (CI No 1,674), reports that it has had written notification from Effective terminating the agreement and plan of merger that was signed on August 15: the management of both have agreed to continue discussions in an attempt to reach a mutually satisfactory arrangement but Unitronix says it believes the termination is unjustified and will pursue legal action to cause specific performance of the agreement, unless a mutually acceptable Revised Agreement and Plan of Merger can be effected; in the meantime, Unitronix says it will not be able to continue its ongoing operations as presently configured, and it intends to cut its workforce to a level consistent with its financial resources.
