Computron Software Inc, Rutherford, New Jersey has filed with the US Securities & Exchange Commission to go public with an initial offer of 3.0m shares, 2.5m of them new, and looks for net proceeds of at least $31.3m, to be used for working capital. The underwriters will be Donaldson, Lufkin & Jenrette Securities Corp, Cowen & Co and First Albany Corp.
Comdial Corp, Charlottesville, Virginia manufacturer of telecommunications equipment, has filed with the US Securities & Exchange Commission to offer 3m shares – post a one-for-three consolidation, 1m of them new, the balance coming from PacificCorp Credit Inc, its largest shareholder. PacifiCorp will reduce its stake to 11.2% from 41.1% after the offering. Comdial will use net proceeds, indicated at around $13m by the current share price, to redeeem 750,000 shares of its series A preferred stock and the remainder for working capital purposes. Underwriter for the issue is Roman & Renshaw Inc.
Desktop Data Inc, Waltham, Massachusetts provider of real-time news and information through its NewsEDGE service over corporate local networks, has filed with the US Securities & Exchange Commission to go public with an initial offer of 2.0m shares, 1.677m of them new, but didn’t give a target price or say what the money was wanted for. Alex Brown & Sons Inc and Volpe, Welty & Co will underwrite.
