Salesforce has signed a definitive agreement to acquire cloud data management company Informatica for approximately $8bn in equity value. Under the terms of the deal, Salesforce will purchase all outstanding Class A and Class B-1 common stock of Informatica by paying $25 cash per share. The Informatica deal comes less than a year after Salesforce agreed to a $1.9bn acquisition of Own, another data management company.

Salesforce plans to finance the Informatica acquisition using a mix of cash reserves and new debt issuance. Approval for the transaction has been granted by the boards of directors of both companies, with around 63% of Informatica’s voting power having already consented to the deal. The transaction is expected to close in Salesforce’s fiscal year 2027, pending necessary regulatory approvals and fulfilment of customary closing conditions.

Acquisition to strengthen Salesforce’s data framework for Agentic AI

Founded in 1993, Informatica provides AI-powered enterprise cloud data management solutions, enabling businesses to connect, manage, and unify data across various cloud environments. The firm works with more than 80 of the Fortune 100 companies, according to its website.

With this acquisition, Salesforce aims to enhance its data foundation, crucial for deploying advanced agentic AI solutions. By integrating Informatica’s capabilities, including data cataloguing, integration, governance, and Master Data Management (MDM), Salesforce intends to create a unified architecture that supports scalable and responsible AI applications across enterprises.

“Together, Salesforce and Informatica will create the most complete, agent-ready data platform in the industry,” said Salesforce chair and CEO Marc Benioff. “By uniting the power of Data Cloud, MuleSoft, and Tableau with Informatica’s industry-leading, advanced data management capabilities, we will enable autonomous agents to deliver smarter, safer, and more scalable outcomes for every company, and significantly strengthen our position in the $150bn-plus enterprise data market.”

Informatica’s acquisition is also expected to enhance several Salesforce platforms. For Data Cloud, Informatica will strengthen its position as a Customer Data Platform (CDP), ensuring data clarity and trust throughout organisations. In terms of Agentforce, the collaboration will enhance the foundation for autonomous AI agents, fostering an intelligent system capable of interpreting complex enterprise data. Additionally, Salesforce’s Customer 360 applications will benefit by enabling teams to deliver personalised customer experiences backed by reliable data.

Once the acquisition is completed, Salesforce plans to rapidly integrate Informatica’s technology stack, embedding its data management solutions within the Salesforce ecosystem. This integration will support Informatica’s strategy of developing AI-powered data management products.

The Informatica acquisition joins a series of strategic deals Salesforce has pursued over the years to broaden its product offerings and increase market share. In 2021, Salesforce acquired Slack for $27.7bn and Tableau in 2019 for $15.7bn. Earlier this month, the US-based SaaS giant moved to acquire Convergence.ai, a London-based company specialising in AI agent development, for an undisclosed sum.
