At the Annual Shareholders Meeting, stockholders approved all proposals, including the issuance of shares of MetaCreations to Computer Associates in exchange for the shares of Viewpoint Corporation, paving the way for MetaCreations to merge with its subsidiary Viewpoint Corporation. Additionally, a new board of directors was elected. The members of the Board are:
– Thomas Bennett, Senior Vice President of Computer Associates International, Inc.
– Bruce Chizen, President of Adobe Systems, Incorporated
– Lennert Leader, President of America Online Investments
– Samuel Jones, Jr., a Director of MetaCreations since 1992
– Robert Rice, President and CEO of Viewpoint
On December 1, 2000, the newly named Viewpoint will start trading under the Nasdaq ticker symbol VWPT. In connection with the company name and ticker change, Bob Rice will be opening the Nasdaq market in an official ceremony on the morning of Friday, December 1. The ceremony will begin with an introduction from Michael Driscoll, Nasdaq Director, and will follow with an address by Mr. Rice before opening the market for trading.
