The acquisition marks the formal linkage between UGS and Tecnomatix, first initiated in 2002, that saw UGS deploy Tecnomatix software in conjunction with its Open Manufacturing Backbone (OMB), a technology support designed to transform the process of digital manufacturing through an open environment in which third-party software applications can interoperate.

UGS views the transaction as a milestone in its expansion of software solutions aimed at providing value across a product’s entire lifecycle, and hopes it will speed up its integration with Tecnomatix solutions and deliver them as an integral component of both its OMB and E-factory solutions.

Following the close of the transaction, the companies intend to offer a fully integrated solution of Tecnomatix manufacturing process management (MPM) to UGS Teamcenter users while continuing to offer Tecnomatix’ leading open standalone MPM solution integrated with the product lifecycle management (PLM) environment of choice for its customers. In addition, the companies intend to announce additional technology enhancements later this year.

Tecnomatix’s shareholders own approximately 13% of the outstanding shares and have voted in favor of the move, which is anticipated to close at the end of the first quarter of 2005.
