The natural outcome of the acquisition is the complete integration of Oslo, Norway-based Birdstep’s Mobile IP technology, which enables seamless handoff between different types of network without dropping the connection, with Alice’s notebook PC and PDA dashboard software. This transparently handles connections to different networks and services, including setting up VPN tunnels and providing one-click access to corporate applications and services.
The deal provides Birdstep with a ready-made customer base of mobile operators to complement its own relationships with systems integrators and ISVs. Stockholm, Sweden-based Alice has existing deals with Nextel, Orange, T-Mobile, TeliaSonera, Telenor, and Telecom Italia Mobile.
The deal is valued at approximately $16.1 million, including $7 million in cash, about $5.1 million in shares, and a performance-related earn-out of up to $4 million.
