The marriage between Eden Prairie, Minnesota based personal computer mass marketeer Northgate Computer Corp and Fremont, California based Everex Systems Corp is off: Northgate announced yesterday that its principal shareholders agreed in principle for an investment group led by Marjac Investment Inc of Herndon, Virginia to acquire 51% of the shares instead; the share acquisition will be from principal shareholders, and also calls for the group to provide at least $3.0m in new financing; the group will pay a rockbottom $0.04 a share and the new finance may be in the form of debt or equity with a purchase or conversion price of at least 4 cents a share; Northgate had been in talks to be acquired by or take a major investment from, IBM Corp.
